To access most features of Ledgr, you must register and maintain an active account. You are responsible for safeguarding your login details and all activity under your account.

3. Use of the Platform

You agree to use Ledgr only for lawful business purposes and in accordance with these Terms and all applicable laws and regulations of New Zealand.

• You will not use Ledgr to create or send unlawful, misleading, or fraudulent invoices or content.
• You are solely responsible for the accuracy, legality, and content of any invoices, client data, or information you generate or upload.
• You must not attempt to gain unauthorized access to any part of the Platform, or interfere with its operation.

4. User-Generated Content & Invoices

Ledgr is a software tool that allows users to create, manage, and send invoices and related business records. You acknowledge and agree:

• All invoices, business records, client details, and data are generated, uploaded, and managed by users.
• Ledgr does not review, verify, or endorse any invoices, payment requests, or other content created by users.
• You, as the user, are fully and solely responsible for all invoices, records, and content you generate or send using Ledgr.
• Ledgr is not responsible or liable for any loss, damage, claim, or dispute arising from invoices, payment requests, or information generated or sent by users.
• All user-generated content remains the responsibility of the originating user.

5. No Legal, Tax, or Financial Advice

Ledgr is a software platform only and does not provide legal, tax, accounting, or financial advice. Any information or tools provided are for informational purposes and do not constitute professional advice. Consult qualified professionals for any compliance, tax, or legal guidance.

6. Platform Availability & Changes

We aim to provide a reliable service, but Ledgr is provided "as is" and "as available". We do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice or liability.

7. Limitation of Liability

To the fullest extent permitted by law:

• Ledgr, its owners, directors, employees, or affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use of, or inability to use, the Platform.
• We are not liable for any loss, claim, or dispute relating to invoices or content generated or sent using Ledgr, including but not limited to disputes between users and their clients, non-payment, incorrect information, or legal compliance.
• Your sole remedy for dissatisfaction with the Platform is to stop using Ledgr.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ledgr, its owners, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or your content or invoices.
